TERMS OF USE

Introduction

Welcome to the platforms of KIWI Technologies Inc. (“KIWI”, “we”, “us” or “our”). This Terms of Use (the “Policy”) sets out the terms and conditions governing access to and use of our SaaS platforms, including but not limited to:

  • Equipa (equipa.ca),STAGE+ (stageplus.ca),Traceabl (traceabl.com) andWEHOOP (wehoop.com)
  • By accessing or using any of our platforms, you agree to comply with this Policy. If you are using the platforms on behalf of an organization, that organization remains bound by the applicable Client Agreement. If you do not agree to the rules of conduct in this Policy, please cease using our platforms immediately.

    Acceptance and Eligibility.

    To use our platforms, you must have the legal capacity to enter into a contract (according to the laws of your jurisdiction) or have the explicit authorization of an organization, institution, or employer (the “Client”) duly authorized to use our services.

    Creation, Management, and Security

    accounts.

    To access the features of our SaaS solutions, you must use a user account. You agree to:

    • Provide accurate, complete, and up-to-date information when setting up your profile.
    • Maintain strict confidentiality of your login credentials (password, access tokens).
    • Immediately report to KIWI Technologies any unauthorized use of your account or any suspected security breach.

    Responsibility of the user when adding members.

    Our platforms include search and invitation tools to facilitate collaboration. The user is entirely and exclusively responsible for accurately verifying the identity of any team member, professional, or third party they add or invite to the platform before confirming the action. Since the search tool is provided as a technical aid, adding an unauthorized third party due to an error or incorrect selection by the user constitutes an internal incident for the client organization or institution, which must manage it according to its own data governance protocols. KIWI Technologies acts as a technical provider and cannot be held liable for any consequences or unauthorized access resulting from user error.

    Acceptable Use and Prohibited Behaviors.

    Our platforms must be used exclusively for lawful, professional purposes and in accordance with their respective intended use.

    It is strictly forbidden to:

    • Circumvent security: Attempting to probe, scan, or test for vulnerability or hack into our systems, servers, or networks.
    • Resource abuse: Using bots, scripts, or automated methods to extract data (scraping) or overload our infrastructure (denial-of-service attacks).
    • Illegal or sensitive content: Uploading, storing, or sharing content that is illegal, defamatory, or that infringes on the intellectual property or privacy rights of third parties.
    • Identity theft : Impersonating another person or entity, or misrepresenting your affiliation with KIWI Technologies, a partner institution, or a third party.
    • Unauthorized Resale: Sublicensing, renting, selling, or distributing access to our SaaS solutions without the prior written consent of KIWI Technologies.

    Intellectual Property.

    All rights, title, and interest in and to the platforms (including software, source code, architectures, user interfaces, logos, designs, and trademarks) from STAGE+, WEHOOP, Traceabl, Equipa, and KIWI Technologies, remain the exclusive property of KIWI Technologies or its licensors.

    Your use of the platforms does not grant you any intellectual property rights to them, except for a limited, revocable, non-transferable, and non-exclusive license to use them for the duration of your subscription or contract.

    Legal Status, Data Protection, and Ownership.

    KIWI Technologies places paramount importance on the protection and confidentiality of information.

    • Ownership Data: The Client (your organization) remains at all times the sole owner and the Data Controller of all data and personal information uploaded to our platforms. KIWI Technologies acquires no ownership rights to your data. KIWI's Status: KIWI Technologies acts solely as an IT Data Processor. Our role is limited to hosting, processing, technically handling, and securing this data according to the Client's instructions and in compliance with Our central Privacy Policy is available at kiwi.ca.

      Account Suspension and Termination

      KIWI Technologies reserves the right, at its sole discretion, to suspend or terminate your access to any or all of the all of its platforms, without notice or liability, in the event of:

      • A proven or reasonably suspected violation of this Policy.
      • Non-payment of subscription or license fees required by your organization.
      • A request or order from judicial or governmental regulatory authorities.
      • Policy Changes.

        We may revise this Terms of Use from time to time to reflect technological or legal developments, or changes to our services. Any changes will be effective immediately upon posting on this central page. We encourage you to consult it regularly.
